This English version is provided for international users. The operator of Hermes Layer remains a French business, and the French version remains the reference version in case of inconsistency, unless mandatory law provides otherwise.

These Terms of Use govern access to and use of the website, SaaS application, hosted Hermes Agent workspaces, WebUI, runtimes, backups, support, Managed AI credits and related features of Hermes Layer.

By creating an account, accessing the service or using Hermes Layer, you accept these Terms of Use, the Privacy Policy, the Terms of Sale, the Refund and Cancellation Policy and, where you use the service to process data on behalf of third parties, the Data Processing Addendum.


1. Definitions

Hermes Layer means the SaaS service operated by the publisher, allowing access to a hosted and managed Hermes Agent.

Service means all Hermes Layer features: website, account, authentication, subscription, Hermes Agent workspace, WebUI, runtime, gateway, backups, support, Managed AI, prepaid credits, billing, back-office and associated APIs.

Customer means the natural or legal person subscribing to or using the service in a professional context.

User means any person authorized by the Customer to access the service.

Workspace or Hermes Agent workspace means the isolated environment assigned to an account or Customer.

Customer Content means any content, file, prompt, instruction, code, repository, configuration, log, secret, data, output or information provided, generated, imported or processed by the Customer in the service.

Managed AI means the optional mode by which Hermes Layer provides an OpenRouter gateway with prepaid EUR credits, without exposing the OpenRouter platform key to the Customer runtime.


2. Nature of the service

Hermes Layer is a SaaS hosting and management service around Hermes Agent. It provides the product layer that Hermes Agent does not provide on its own: signup, subscription, isolated provisioning, lifecycle controls, authenticated WebUI gateway, backups, support, billing and Managed AI credits.

Hermes Layer is not the official Hermes Agent product and is not presented as such. It is a hosting, operations and integration layer around a third-party software ecosystem and open source or third-party components.

The service is primarily designed for professional use: developers, consultants, agencies, technical teams, SaaS operators and organizations that wish to use a hosted agent without operating the infrastructure themselves.


3. Eligibility and professional use

The service is reserved for adults and users acting in a professional context.

By using Hermes Layer, you represent that:

  • you have the legal capacity to enter into a contract;
  • you act for professional purposes or on behalf of an organization;
  • you have the necessary authority to bind the relevant organization;
  • you are not located in a country or region subject to sanctions prohibiting access to the service;
  • you do not use the service to circumvent laws, sanctions, export restrictions or third-party provider terms.

Unless otherwise agreed in writing by the publisher, Hermes Layer is not intended for minors or consumers acting exclusively for personal purposes.


4. Account, credentials and security

The User must provide accurate information when creating the account and keep it up to date.

The Customer is responsible for:

  • the confidentiality of its credentials;
  • the use made of its account;
  • actions performed from its sessions;
  • management of its own API keys, connectors, secrets and third-party access;
  • verification of rights granted to users of its organization.

Hermes Layer may impose security rules, limit login attempts, invalidate sessions, require a password reset or suspend access in case of risk to the service, the Customer, a third party or the platform.


5. Service access and entitlement

Access to the workspace, WebUI, runtime and main features is subject to an active subscription, a valid trial period or a specific written agreement.

Hermes Layer may automatically suspend access and stop the workspace runtime where:

  • the subscription becomes inactive, unpaid, cancelled, incomplete or expired;
  • a payment is disputed or flagged as fraudulent;
  • use violates these Terms;
  • the security or stability of the service is threatened;
  • a legal obligation, authority request or provider restriction requires it.

Where a subscription becomes active again after payment or validated reactivation, Hermes Layer may restart or reprovision the runtime associated with the same workspace and volumes where technically possible.


6. Workspace, runtime and WebUI

By default, the product model is:

  • one account;
  • one primary workspace;
  • one isolated runtime;
  • one hosted Hermes WebUI;
  • one Hermes gateway;
  • one persistent volume;
  • one isolated configuration and secrets scope.

The raw runtime, internal ports, internal URLs, container names, local paths, runtime keys and secrets are not exposed to the browser.

The User accesses the product through the authenticated Hermes Layer gateway. The gateway may apply route policies, authentication, active subscription checks, workspace ownership checks, CSRF protection and cookie isolation.

Certain native WebUI features incompatible with managed hosting may be disabled or replaced, including native WebUI authentication, standalone WebUI passkeys, uncontrolled self-update, exposure of runtime URLs or direct shutdown controls.

6.1 Hosted runtime boundaries and host operations

The hosted workspace is a managed and isolated runtime, not an unmanaged VPS, root shell, server administration account or raw infrastructure product. Unless a Dedicated or written custom agreement expressly says otherwise, access to a WebUI terminal, agent tools, files, connectors or gateway routes does not grant the Customer or its agents administrative access to the underlying host, Docker socket, systemd, firewall, reverse proxy, tunnel, storage layer, provider account or platform secrets.

To provide, secure, back up, restore, update, monitor and route the service, Hermes Layer may install, configure, update, restart or remove host-level components on infrastructure it controls or leases for the service. This may include operating system packages, host daemons, systemd services or timers, Docker Engine, containers, networks, volumes, firewall and network rules, reverse tunnels, reverse proxies, storage mounts, snapshot or backup tooling, monitoring components and security updates.

These host-level operations are part of the managed service. They may temporarily pause, restart, reconfigure or limit a workspace where reasonably necessary for provisioning, maintenance, security, backup, restore, recovery, abuse prevention, billing enforcement or provider requirements.

The Customer must not attempt to bypass the Hermes Layer gateway, obtain raw host access, modify host-level configuration, access platform secrets, interfere with backup or routing components, or use the workspace to attack, scan or control the underlying host or other infrastructure.


7. Customer Content

The Customer retains its rights in Customer Content.

The Customer grants Hermes Layer a non-exclusive, worldwide, limited, free-of-charge license strictly necessary to host, store, transmit, process, back up, restore, secure, display and provide Customer Content in connection with the service.

The Customer warrants that:

  • it has the necessary rights in Customer Content;
  • Customer Content does not infringe third-party rights;
  • personal data imported or processed has an appropriate legal basis;
  • data subjects have received the necessary information;
  • sensitive, regulated or confidential content is processed only under an appropriate legal and contractual framework.

Hermes Layer claims no ownership over Customer Content.


8. AI providers, BYOK, connectors and Managed AI

Hermes Layer may allow:

  • use of AI providers configured by the Customer with its own keys;
  • use of connectors, MCP, tools or integrations configured in the Hermes Agent workspace;
  • use of the Managed AI gateway through OpenRouter and prepaid credits.

Where the Customer configures its own keys or connectors, the Customer is responsible for:

  • compliance with the terms of those providers;
  • costs charged by those providers;
  • security and validity of its keys;
  • compliance of transfers and processing performed by those providers;
  • permissions granted to the agent.

Where Managed AI is used, Hermes Layer routes requests through an OpenRouter gateway, debits credits based on provider usage and does not expose the platform key to the Customer runtime. Requests may nevertheless be processed by OpenRouter and by models or providers accessible through OpenRouter.

AI model usage is not included in the subscription price. Any one-time first-subscription Managed AI credit bonus shown before purchase is a separate promotional credit, granted once per account or customer only, and is not reissued after cancellation, suspension, plan change, restart or later resubscription.


9. AI, outputs and human decisions

The service may produce or help produce automated content, recommendations, code, commands, analyses, files, text, actions, plans or other outputs.

These outputs may be incomplete, inaccurate, outdated, biased, insecure or unsuitable. The Customer must verify outputs before using, publishing, executing or transmitting them.

The Customer must not use Hermes Layer as a substitute for professional advice in high-risk areas, including medical, legal, financial, tax, insurance, HR, immigration, critical security, regulated education, scoring, automated decisions affecting rights, biometrics, surveillance, defense, critical infrastructure or any other high-impact use, unless a written agreement and specific compliance framework are in place.

The Customer remains solely responsible for decisions made based on AI-generated or AI-assisted outputs.


10. Transparency of AI-generated content

Where the Customer uses Hermes Layer to generate or modify content intended to be published, sent to third parties or used externally, the Customer is responsible for complying with applicable transparency obligations.

The Customer must in particular inform persons when they interact with an AI system, where required, and label or disclose the artificial origin of audio, image, video or text content generated or manipulated by AI where the law requires it.

Hermes Layer does not guarantee that outputs automatically include all labels, metadata or markings required by each jurisdiction or platform.


11. Prohibited uses

It is prohibited to use Hermes Layer to:

  • violate any law, regulation, court order or contractual obligation;
  • infringe intellectual property rights, trade secrets, personal data or third-party rights;
  • process minors’ data or sensitive data without a legal basis and appropriate measures;
  • develop, deploy or facilitate malware, phishing, spam, credential stuffing, security circumvention or data exfiltration;
  • obtain unauthorized access to third-party systems, accounts, APIs, repositories, databases or environments;
  • generate or distribute illegal, misleading, fraudulent, defamatory, hateful, harassing or dangerous content;
  • circumvent resource, security, payment, quota or credit limits;
  • resell, rent, pool or provide access to Hermes Layer as a competing service without written agreement;
  • use the runtime for mining, botnets, attacks, abusive scraping, artificial load or disproportionate use;
  • attempt to access infrastructure, runtime, Docker socket, keys, secrets or internal logs not exposed to the Customer;
  • circumvent sanctions, export restrictions or third-party provider rules;
  • use Hermes Layer for high-impact automated decisions about persons without an appropriate legal framework, information and human oversight.

Hermes Layer may immediately suspend any prohibited use.


12. Backups, exports and restore

Hermes Layer may provide manual or scheduled workspace backups.

Backups may include workspace content, manifest, checksums and volume archives. They are designed to allow restore or export, subject to format, checksum and path validations.

The Customer is responsible for:

  • verifying that its backups are suitable for its needs;
  • downloading necessary exports before the end of the contract;
  • testing important restores;
  • understanding that a restore may replace the current state of the workspace;
  • not importing malicious or unauthorized archives.

Hermes Layer may prune scheduled backups according to the plan or configuration retention policy. Backups do not replace a complete external backup strategy maintained by the Customer.


13. Support

Hermes Layer provides support according to the subscribed plan and the information displayed in the service.

Support may be provided through:

  • the authenticated support area;
  • transactional email;
  • the public contact form;
  • specific channels agreed in writing.

Hermes Layer does not guarantee a response time or SLA unless a separate written agreement provides otherwise. Email notifications may contain redacted excerpts and a link to the authenticated area.


14. Availability, maintenance and changes

Hermes Layer makes reasonable efforts to keep the service available, secure and functional.

The service may be interrupted or limited for:

  • maintenance;
  • update;
  • security fix;
  • provider incident;
  • overload;
  • network outage;
  • Stripe, OpenRouter, SendGrid, hosting or storage incident;
  • attack or suspected abuse;
  • legal obligation or provider decision.

Hermes Layer may modify, replace, add or remove features, provided it does not substantially remove access to the main paid service without a reasonable transition measure, except where required for security, compliance or force majeure.


15. Hermes Layer intellectual property

Hermes Layer, its branding, website, proprietary code, SaaS interfaces, texts, graphical elements, workflows, documentation, configuration, evidence systems, back-office and integrations are protected elements.

Unless authorized in writing, the Customer may not:

  • copy, resell, distribute or sublicense Hermes Layer;
  • remove proprietary notices;
  • perform unlawful reverse engineering;
  • create a competing service substantially derived from Hermes Layer;
  • use trademarks, logos or distinctive elements without authorization.

Third-party and open source components remain subject to their own licenses. Hermes Layer may publish or reference third-party notices.


16. Feedback

If the Customer provides feedback, suggestions or ideas, it authorizes Hermes Layer to use them freely to improve the service, without compensation, provided that Hermes Layer does not disclose the Customer’s confidential information.


17. Confidentiality

Each party must protect the other party’s confidential information with reasonable care and use it only for performance of the contract.

Information is not confidential if it is public, already known without a confidentiality obligation, lawfully obtained from a third party or independently developed.

Hermes Layer may disclose information where required by law, an authority, judicial process, Stripe, a payment provider or a professional advisor, to the extent necessary.


18. Personal data

Processing of personal data is governed by the Privacy Policy and, for processing carried out on behalf of the Customer, by the Data Processing Addendum.

The Customer is responsible for the notices, consents, legal bases and rights required for data it imports or processes through Hermes Layer.


19. Suspension and termination

Hermes Layer may suspend or terminate access to the service, without prejudice to amounts owed, where:

  • the Customer fails to pay amounts due;
  • the subscription is cancelled or inactive;
  • a payment dispute or fraud is detected;
  • the Customer breaches these Terms;
  • use creates risk for the platform, another customer, a provider or a third party;
  • a legal or provider obligation requires it.

The Customer may cancel its subscription in accordance with the Terms of Sale and Cancellation Policy.

After termination, the Customer must export its data within the available timeframes. Runtime access may be suspended at the end of the paid period or earlier in case of serious breach, fraud, chargeback or security risk.


20. Warranty and exclusions

Hermes Layer is provided “as is” and “as available”, subject to mandatory warranties under applicable law.

Hermes Layer does not warrant that:

  • the service will be error-free or uninterrupted;
  • all AI outputs will be accurate or suitable;
  • third-party providers will be available;
  • Customer configurations will work with all models, keys, connectors or repositories;
  • performance will meet all use cases;
  • the service is suitable for regulated or high-risk uses without a specific agreement.

21. Limitation of liability

To the extent permitted by applicable law, Hermes Layer will not be liable for indirect damages, loss of profits, loss of revenue, loss of opportunity, business interruption, loss of data not backed up by the Customer, reputational damage, replacement costs or consequences of decisions made based on AI outputs.

For professional customers, Hermes Layer’s total cumulative liability in connection with the service is limited to the amounts actually paid by the Customer to Hermes Layer during the twelve months preceding the event giving rise to liability, except in case of gross negligence, willful misconduct, bodily injury or liability that cannot legally be limited.

The Customer remains responsible for use by its users, its keys, its data, its integrations and its business decisions.


22. Indemnification

The Customer shall indemnify Hermes Layer against claims, losses, costs and reasonable expenses resulting from:

  • unlawful Customer Content;
  • infringement of third-party rights;
  • prohibited use;
  • a breach of data protection laws attributable to the Customer;
  • misconfiguration of keys, connectors or third-party providers;
  • use of the service in a regulated context without an appropriate agreement.

23. Sanctions and export

The Customer undertakes not to use Hermes Layer in violation of laws relating to sanctions, embargoes, export controls, anti-corruption, anti-money laundering or illicit financing.

Hermes Layer may refuse, suspend or terminate access if a risk of violation is identified.


24. Governing law and jurisdiction

These Terms of Use are governed by French law.

For professional customers, any dispute relating to their validity, interpretation, performance or termination shall be submitted to the competent courts within the jurisdiction of Nantes, France, unless mandatory rules provide otherwise.

If mandatory consumer rights apply to a user despite the professional positioning of the service, those rights are not excluded by these Terms.


25. Changes

Hermes Layer may amend these Terms of Use. The applicable version is the version accepted or published at the time of use, order or renewal, unless otherwise stated.

In the event of a material change, Hermes Layer may inform users by email, notification or in-service notice. Continued use of the service after the effective date constitutes acceptance of the new version, unless termination occurs under the applicable conditions.
